These terms are intended to define the Conditions of Sale between RIO SUL – Comércio e Indústria de Confecções, Lda. with headquarters at Rua Engenheiro Ferreira Dias 444, Armazém 1, Zona Industrial do Porto, 4100-246 Porto, with NIF No. 501881913, legitimate owner of the official website and B2B platform of the RIO SUL Brand and whose domain can be found at www.riosul.pt, and between the User, being the only ones applying between the two parties.


To navigate, use the website, as well as to make orders/purchases of any product on the RIO SUL platform at www.riosul.pt, the User:

• Declares that have fully read and accepted these Terms and Conditions;

• Declares that is at least 18 years old;

• Will not make improper or fraudulent use of this site;

• The access data will not be shared with third parties;

• Agrees that Portuguese law will govern any conflict with the User, notwithstanding any contrary provisions, community directive, or international treaty;

• In the event of litigation regarding the interpretation or execution of these Terms and Conditions, RIO SUL and the User will attempt to obtain a friendly solution, which is fair and adequate, within a maximum period of 60 (sixty) days counted from the receipt of the communication straightened for this purpose by any of the parts involved;

• In the absence of an amicable solution, in the terms of the previous number, and in case of non-compliance with these Terms and Conditions, both PARTIES fix the Tribunais da Comarca do Porto as competent forum, with express waiver of any other. This provision does not affect other rights recognized to the consumer by applicable law.


Users are considered to be all people who browse, shop, order and/or buy products through the online platform of RIO SUL.

RIO SUL reserves the right to update or modify these Terms and Conditions at any time, without prior notice, as well as to modify at any time the information and commercial offer presented on products, prices, promotions, commercial conditions and services.

RIO SUL reserves the right to not process any order or request from users who do not agree with these General Terms of Sales.

It is expressly forbidden to introduce links to our website for commercial purposes or without prior authorization from RIO SUL, as well as the use of the domain www.riosul.pt for abusive purposes, without prior authorization, will be subject to recourse to the competent legal means by from RIO SUL

Placing an order online

Registration on the platform is done by opening a customer file after direct contact with RIO SUL.

To place an order on the RIO SUL B2B platform, the User must have a password, provided by the company. Once the session is open, simply add all the products you wish to purchase to the virtual shopping cart, following all the purchase steps so that it is completed successfully.

  • To place an order at www.riosul.pt:
  • Browse the pages of the RIO SUL platform and find the products you wish to purchase;
  • Add the selected products to the Shopping Cart using the “Add to Cart” button;
  • When you understand that you have chosen all the products you wish to purchase, complete the purchase by clicking on “Continue” in the shopping cart;
  • Then select the delivery method and delivery address, and confirm the Billing address;
  • Select the payment method, accept the Terms and Conditions and finalize your order by clicking on “Confirm Order”;
  • At the end of the process, the order is confirmed with notification of the respective order number and receipt of the order via email.
  • Once you have completed your order, you will receive an automatic email confirming it. This summary will also be available on your account page. If the data is not correct, you must immediately request that it be changed, or even the cancellation of the order placed.
  • In case of non-confirmation of payment or non-compliance with these General Terms and Conditions of Sale, RIO SUL reserves the right not to accept your order, or to cancel it in whole or in part, even after automatic confirmation of the same.

Product availability

RIO SUL undertakes to supply the items listed in the order, under the terms, prices and other conditions of sale, except in the event of stock shortages.

RIO SUL only ships orders on business days. Therefore, when estimating the delivery time of orders, weekends and holidays are not taken into account. Any delay in the dispatch of items, given the estimated dates presented, does not give rise to the right to compensation.

Order confirmation or cancellation

Orders sent on www.riosul.pt with payment by bank transfer, MBWay, Multibanco or Credit Card will only be considered confirmed and processed after receipt of the respective payments.

If an order has been placed, and the corresponding payment has been made, for products that have since become unavailable, RIO SUL will proceed to credit or refund the amount paid for the unavailable items to the account.

RIO SUL reserves the right to refuse any order, regardless of the reason, and is exempt from liability for any damages or costs, even if it has already been accepted or confirmed by RIO SUL, especially in the following situations:
  • The Customer's tax information is not correct or verifiable;
  • The order is flagged by the website's Security Systems as an incorrect, irregular order, or an order susceptible to fraud;
  • When payment for the order is not received within a period of 5 business days following the sending of the respective Proforma Invoice, in the case of payment by bank transfer, or by online payment method;
  • When it is not possible to deliver the order to the address provided by the Customer;
  • If it is considered that the User did not have the capacity to perform that act on behalf of the Client.
  • If it is found that there was an error in the presentation of the price of the product(s).

Payment conditions

National orders can choose from the following payment conditions:

  • By bank transfer with sending of Proforma Invoice - with 3% discount;
  • Cash on delivery by check – with 3% discount;
  • Cash on delivery by check in 30 or 60 days;
  • Payment by MBWay – with 3% discount;
  • Payment by Multibanco;
  • Payment by Credit Card.


Orders for customers in foreign territory can be settled in the following ways:

  • By bank transfer with sending of Proforma Invoice - with 3% discount;
  • Payment by Credit Card.
  • The total amount indicated on the order form comprises the purchase price of the products, excluding VAT, if applicable, and shipping costs are indicative.
  • We urge you not to attempt to make payment by any other means not specified on www.riosul.pt. If you try, RIO SUL cannot be held responsible for the loss of the monetary amount paid, or any other damages that may arise.

Security of Rio Sul's online platform and all transactions

The RIO SUL B2B platform cannot be held responsible for any damage suffered as a result of the use of electronic means of communication, in particular damage resulting from failures or delays in the delivery of electronic communications, interceptions or manipulations of electronic communications by third parties or by software programs. computers used for communications or virus transmissions.

Reservation of Ownership of sold products

RIO SUL retains ownership of all goods supplied to the Customer until the respective invoice has been fully collected, and may be withdrawn after the Invoice is due if it is not paid.

Fees

If the Customer fails to comply with the agreed payment deadlines, RIO SUL reserves the right to charge interest at the legal rate, until the debt is paid in full.

All expenses incurred by RIO SUL in the judicial or extrajudicial collection of its credits against the Customer will be borne by the latter.

Pricing

The prices of products displayed on the riosul.pt website do not include Value Added Tax (VAT).

The Customer must pay only the exact amount specified in the order confirmation, after a Proforma Invoice has been issued.

RIO SUL reserves the right to change prices and specifications at any time, without prior notice.

Quality and Warranty

RIO SUL's B2B platform will only sell quality items on www.riosul.pt and will never sell second-hand products.

The products available at www.riosul.pt may not exactly correspond to the final product with regard to the displayed image and colors, especially due to the internet browser and monitor used.

Shipping of Products and Deliveries

Products ordered on the RIO SUL B2B platform will be shipped and delivered on business days, from Monday to Friday.

RIO SUL delivers the Customer's orders to their establishment. However, if delivery of the goods is agreed to a third party's home address, as indicated by the Customer, this will be considered for all purposes as delivery to the Customer.

The Customer undertakes to accept the goods under the agreed conditions, as well as partial delivery thereof. The delivery of part of the order does not cancel the remainder of the order nor limit the delivery period, unless expressly communicated by the Customer.

We can only guarantee the correct delivery of an order if the shipping address for the products is correctly indicated by the User.

A delivery is deemed to have been made or a product is deemed to have been delivered upon signature of the carrier's delivery receipt at the agreed address.

The risk of deterioration of the goods sold during their transport or shipping is borne by the Customer, unless expressly agreed in writing to the contrary.

Shipping costs

All prices are EXWORKS  do not include shipping costs.
Shipping costs associated with your order will be invoiced per shipment.
Shipping costs are calculated per shipment, and the exact price of the shipping fee will depend on the volumetric weight of the order, and the country/location where your order will be delivered.
Shipping costs are all set out in Euros and any change in the country and/or location of delivery of the goods may have an impact on them, including the possibility of customs duties and expenses being applied, these expenses always being borne by the Customer.
For orders within Europe, RIO SUL will arrange transportation of the sold goods, unless otherwise indicated by the Customer.

The order's transport cost will be supported by Rio Sul ONLY when the following conditions are met:
  • The value of the order is equal to or greater than R$500.00, for the national territory;
  • The value of the order is equal to or greater than €1,000.00, for mainland Spain;
  • For the purposes of this calculation, products such as fillers are not considered. Shipping costs will always be charged for these products.
  • As the customer is always notified of the shipment of the goods, if it is not possible to deliver the order due to a reason attributable to the Customer, the costs arising from new delivery attempts are the responsibility of the Customer, and consequently debited.
  • When the value of the Customer's Order is lower than the values ​​above, the cost inherent in shipping the goods will be included in our Invoice, in accordance with the price list of the Transport company contracted for this purpose.
  • Shipments of goods to Island Regions are excluded from the above conditions.


Upon receiving the goods, the Customer must inspect the packaging to check for any damage during transport. If you find that the products may be damaged, you must refuse the shipment or note the visible damage in the carrier's reservations for later complaint and you must contact RIO SUL within a maximum period of 24 hours via email clientes@riosul .pt or by telephone +351 226 154 860, mentioning the anomalies found.

Order Delivery Times

Once your order has been registered, the respective payment method has been confirmed and all items in your order are available, RIO SUL undertakes to ship the order within the following delivery times, except after trade fairs:
  • In mainland Portugal, delivery within 5 working days.
  • In the Madeira and Azores archipelagos, delivery within 10 working days.
  • Mainland Spain, delivery within 5 working days.
  • Spain Islands, delivery within 20 working days
  • Continental Europe, delivery within 15 working days
  • Other countries, delivery within deadlines to be analysed on a case-by-case basis.
  • Any delay in the dispatch of items, compared to the estimated dates presented, does not give the customer any right to compensation.

Product Exchanges and Returns

The decision as to whether or not the goods are eligible for return lies exclusively with RIO SUL, and will be communicated to the customer in good time.


If the return is accepted by RIO SUL, it must arrive at RIO SUL's premises within fifteen days, and the goods must be in good condition, without customer labels, and in our original packaging. Otherwise, RIO SUL reserves the right not to accept the return, or to allocate the costs of repackaging the products to the customer.


After accepting a return, RIO SUL will exchange the returned items or issue a Credit Note. This will be issued when there are no outstanding debts in the Customer's current account.


You must contact our Customer Support via email clientes@riosul.pt, communicating your intention to return, indicating the order number or invoice number, products to be returned and reason. Under no circumstances send items without prior contact as they will not be considered for exchange/return.


After contacting our Customer Support and being given the return coordinates, you must send us the item properly packaged and in the conditions mentioned above, to our address:

The exchange will always be made for another identical product in good condition. In these cases, shipping costs will be covered by our company. The exchange will only be carried out after checking the condition of the product and meeting the conditions described above.


If you choose to return or credit the amount, refunds or credits (for purchases in the online store) will be made for the full amount of the order, unless the reason that led to the return is not the responsibility of our service - in these cases, the amount will be deducted. , to the refund amount, shipping costs. Order Cancellation

Once the return is confirmed and the order is received at RIO SUL headquarters, a refund will be processed, if applicable.

Validity of promotions or commercial campaigns

Promotional offers or commercial campaigns advertised on the platform at riosul.pt are only valid for the time they are displayed on the website and in accordance with the established conditions, unless otherwise stated on the website.

In the case of returning or exchanging items purchased as part of commercial campaigns or promotions, only the amount you actually spent on the purchase of the product you wish to return or exchange will be credited or delivered.

Responsibility

RIO SUL will only be liable for damages suffered by the Buye” if such damages result from breaches attributable to the contractual obligations of the RIO SUL B2B Platform towards the Consumer, or in the event that if liability results from applicable legal law.

Claims

Any complaint regarding merchandise supplied by RIO SUL must be submitted in writing within 8 (eight) days from the date of receipt of the merchandise by email to clientes@riosul.pt.

The decision to accept or not the complaints lies exclusively with RIO SUL.
